Huachi Terms of Service

Contracting entity: Hangzhou HuaChi Digital Technology Co., Ltd. (registered address: Room 403-2, Building 10, No. 999 Jingxing Road, Cangqian Subdistrict, Yuhang District, Hangzhou, Zhejiang Province, China; referred to as “Huachi,” “we,” “us,” or “our”)

This English version is provided for convenience. If it conflicts with the Simplified Chinese version, the Simplified Chinese version prevails, except where applicable law requires otherwise.

Introduction

Welcome to Huachi. Huachi is an AI-powered personalized merchandise platform. You may enter design requirements, upload or sync inspiration materials, receive AI-generated personalized product design candidates, and save, review, share, or submit those results as a mock order or a formal order.

These Terms and the following documents together govern your use of Huachi. Before we first process personal information, we will provide the Privacy Policy. When you place a formal order, upload materials, or enable an optional feature, we will provide the relevant document and a separate notice. A document or rule applies to the relevant action only after you actively confirm it:

• Huachi User Upload & IP Policy
• Huachi Real Order Terms (applicable only when submitting a formal order)
• Huachi Community and Sharing Policy (applicable only when using sharing or community features)
• Notices and confirmations associated with a specific feature

1. Nature and Stage of the Service

1.1 Huachi is currently in an MVP/testing stage. Features, results, product information, prices, order processes, and data retention methods may change.

1.2 Unless a page clearly identifies a formal purchase process, a mock order or similar process in Huachi does not constitute a purchase, payment, production, or shipment and creates no contractual obligation. Formal orders are governed by the Huachi Real Order Terms.

1.3 Huachi’s customized products are individually manufactured according to the design file you approve. Their cancellation, return, and exchange rules differ from those for standardized products. See the Huachi Real Order Terms for details.

2. User Eligibility

2.1 Huachi is not directed to children under 14. A minor who is at least 14 but under 18 must use Huachi with the consent and guidance of a parent or guardian. A formal order must be completed by a guardian or with the guardian’s express consent.

2.2 Do not upload sensitive images of children, inappropriate content involving children, or any content that could harm a minor.

3. Your Content and Responsibilities

3.1 You are responsible for text, images, design requirements, inspiration materials, and other content that you enter, upload, sync, or share (collectively, “Your Content”). You must ensure that you hold the necessary rights or have obtained permission from the relevant rights holder.

3.2 Do not upload or use content that infringes another person’s copyright, trademark, portrait right, privacy, reputation, or other lawful rights. See the Huachi User Upload & IP Policy for details.

3.3 If your intentional or negligent upload of unlawful or infringing content directly causes a third-party claim or reasonable loss to Huachi, you are responsible under applicable law only to the extent of your fault and the causal connection. Huachi will continue to process complaints and perform its own review, notice, and remedial obligations as required by law.

4. Prohibited Conduct

You must not use Huachi to generate, upload, share, or attempt to produce any of the following content, or engage in any of the following conduct:

• Content that violates applicable laws or regulations, including content concerning threats to national security, incitement to subversion, terrorism, extremism, gambling, narcotics, fraud, or pyramid schemes;
• Obscene or pornographic content, child sexual exploitation material, or any inappropriate content involving minors;
• Content that infringes intellectual property, portrait, privacy, reputation, or other rights, including unauthorized brand identifiers, celebrity likenesses, or third-party works;
• Hateful, discriminatory, harassing, violently threatening, insulting, or defamatory content;
• False advertising, misleading commercial information, or impersonation of another person or organization;
• Malicious code or viruses, or attempts to disrupt, reverse engineer, or gain unauthorized access to Huachi or a third-party system;
• Forging, altering, removing, or concealing an AI-generated content label, or misrepresenting AI-generated content as entirely human-created for a deceptive purpose; or
• Other content or conduct unsuitable for customized-product production or public display, or prohibited by applicable law.

5. AI-Generated Results

5.1 AI-generated content consists of candidate results produced from your inputs and system processing. Huachi does not guarantee that an AI result is unique, original, accurate, registrable, commercially usable, manufacturable, or dissimilar to third-party content.

5.2 Before saving, sharing, or ordering, you must review all text, patterns, people, brands, and other elements in a design. See the Huachi AI Generated Content Disclaimer.

5.3 In accordance with the Measures for Labeling AI-Generated and Synthetic Content, Huachi will apply explicit or implicit labels to AI-generated content. You must not remove, alter, or forge those labels.

6. How Huachi Processes Content

To provide the service, Huachi may store, process, transform, and display your inputs and uploaded materials and use them to generate design candidates, save a design profile or design memory, improve the product experience, diagnose errors, and conduct safety reviews. 7. Orders and Transactions

7.1 A mock order is only a product-testing and design-confirmation process. It creates no payment, production, shipment, or after-sales obligation. See the Huachi Mock Order Notice.

7.2 Formation, pricing, payment, cancellation, production, delivery, quality remedies, and after-sales service for formal orders are governed by the Huachi Real Order Terms. Before submitting a formal order, you must confirm the design file, product specifications, and price and acknowledge the restrictions applicable to returns and exchanges of customized products.

7.3 Huachi may reject or, before production begins, cancel an order involving prohibited content, uncertain rights, manufacturing infeasibility, or safety risk. Any amount you have paid for that order will be refunded.

8. Content Restrictions and Removal

If we reasonably believe content may be unlawful, infringing, in breach of these Terms, or risky to users, third parties, or Huachi, we may refuse to generate it, hide or delete it, restrict the relevant content or feature, or suspend or terminate the service. We may report the matter to the competent authorities when required by law.

9. Intellectual Property

9.1 The Huachi app, interface, model orchestration, brand, software, and default materials are owned by Huachi or its licensors. Without permission, you must not copy, reverse engineer, sell, sublicense, or otherwise misuse the Huachi service.

9.2 Rights and licenses concerning Your Content and design results generated through Huachi are governed by the Huachi User Upload & IP Policy and the Huachi AI Generated Content Disclaimer.

10. Service Changes and Termination

We may update, suspend, or discontinue features. Data and design results produced during the testing stage may not be retained permanently. We will provide reasonable advance notice of material service changes.

11. Disclaimers

11.1 Huachi is provided on an “as is” and “as available” basis. We will use reasonable efforts to provide a stable and useful service, but do not guarantee uninterrupted or error-free operation or that every result will meet your expectations.

11.2 Where service is affected by force majeure, telecommunications or cloud-service failures, third-party AI-service incidents, or other causes beyond our reasonable control, we will promptly take reasonable mitigation, restoration, and notification measures and bear responsibility as required by law and the agreement between the parties.

12. Limitation of Liability

Huachi is responsible under applicable law for product quality, improper performance, personal-information processing, and its service conduct. Losses that depend on fault, causation, and foreseeability will be resolved by agreement or determined by a competent authority under applicable law. Nothing in these standard terms unreasonably excludes Huachi’s liability, increases your liability, or deprives you of your principal rights.

13. Governing Law and Dispute Resolution

The formation, validity, interpretation, performance, and dispute resolution of these Terms are governed by the laws of the People’s Republic of China. The parties may first attempt to resolve a dispute through consultation, a consumer complaint, or mediation. If the dispute is not resolved, either party may bring proceedings before a court of competent jurisdiction in accordance with law. This section does not restrict any dispute-resolution right available to a consumer under applicable law.

If you believe content in Huachi infringes your rights, or you wish to delete Your Content or personal information, contact us at support@huachi.tech and provide the information reasonably required to process your request. See Section 7 of the Huachi User Upload & IP Policy for the complaint process.

15. Updates to These Terms

We may update these Terms and related documents. We will give advance notice of material changes through a prominent in-app notice or another reasonable method and identify the version and effective date. Where law requires renewed consent, or a change introduces a new purpose, method, or category of personal-information processing, we will request your active confirmation again. You may reject a non-essential change and stop using the relevant optional feature.
